To use Utiltag, you must create an account. By registering, you agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Keep your login credentials secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breaches

Business accounts must be registered by an authorized representative of the organization. You confirm that you have the authority to bind your organization to these terms.

Utiltag offers various subscription plans with different features and pricing tiers. By subscribing to a paid plan, you agree to:

• Pay all applicable fees according to your chosen plan
• Provide valid payment information and authorize recurring charges
• Subscription fees are billed in advance on a monthly or annual basis
• Upgrades take effect immediately; downgrades take effect at the next billing cycle

We reserve the right to modify pricing with reasonable notice. Price changes will not affect your current billing period.

You agree to use Utiltag only for lawful queue management purposes. You must not:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Service
• Transmit any malicious code, viruses, or harmful content
• Resell, sublicense, or redistribute the Service without authorization
• Use automated systems to scrape or extract data from our platform
• Collect personal information of customers in your queue for purposes unrelated to queue management

As a business using Utiltag to manage customer queues, you are responsible for:

• Ensuring your use of the Service complies with applicable laws and regulations
• Informing your customers about how their queue data is collected and used
• Obtaining any necessary consents from customers for SMS or email notifications
• Managing your queue fairly and in accordance with your published policies
• Training your staff on proper use of the queue management system
• Maintaining accurate queue information displayed to customers

You retain ownership of all customer data entered into the Service. However, you grant Utiltag a limited license to process this data solely to provide the Service. You acknowledge that:

• You are the data controller for customer personal information
• You are responsible for the accuracy and legality of data you collect
• Customer queue data (names, phone numbers, party sizes) is stored only as long as needed
• Completed queue entries are automatically removed after a configurable retention period
• You may export or delete your data at any time through your account settings

Utiltag is committed to providing reliable service:

• We target 99.9% uptime availability for paid plans
• Technical support is available via email during business hours
• Premium plans may include priority support and dedicated assistance
• We provide regular updates and improvements to the Service

Service credits may be available for significant unplanned outages affecting paid subscribers. Please contact support for details.

Our Service is provided "as is" without warranties of any kind, express or implied. Utiltag and its affiliates shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or downtime beyond our reasonable control
• Damages arising from unauthorized access to your account
• Customer complaints or disputes related to your queue management practices

Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim. Some jurisdictions do not allow certain limitations, so these may not apply to you.

We reserve the right to modify, update, or discontinue any aspect of the Service, including:

• Features, functionality, and user interface
• Pricing and subscription plans
• API access and integrations
• Data retention policies

We will provide reasonable notice of material changes through email or in-app notifications. Continued use after changes constitutes acceptance of the updated terms.

Either party may terminate this agreement at any time. Upon termination:

• Your access to the Service will be discontinued
• You may request export of your data within 30 days
• Outstanding payments remain due
• We may delete your account data after the retention period

We may terminate or suspend your account immediately for:

• Violation of these terms
• Fraudulent or illegal activities
• Non-payment of fees
• Conduct harmful to other users or the Service

Utiltag retains all rights, title, and interest in the Service, including all intellectual property rights. You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription period. You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer or attempt to extract source code
• Remove or alter any proprietary notices or labels
• Use our trademarks without prior written permission

These terms are governed by and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law principles.

Any disputes arising from these terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Delaware, United States. You consent to the personal jurisdiction of such courts.

If any provision of these terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in effect.
