Terms of Service

To use UtilTag as a facility manager, you must create an account. By registering, you agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information
• Keep your login credentials secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breaches

Accounts used for business or organisational purposes must be registered by an authorised representative. You confirm that you have the authority to bind your organisation to these terms where applicable.

UtilTag offers subscription plans for managing locations and receiving maintenance alerts. By subscribing to a paid plan, you agree to:

• Pay all applicable fees according to your chosen plan
• Provide valid payment information and authorize recurring charges
• Subscription fees are billed in advance on a monthly or annual basis
• Plan changes take effect as described at the time of change

We reserve the right to modify pricing with reasonable notice. Price changes will not affect your current billing period.

You agree to use UtilTag only for lawful maintenance reporting and facility management purposes. You must not:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity or performance of the Service
• Transmit any malicious code, viruses, or harmful content
• Resell, sublicense, or redistribute the Service without authorization
• Use automated systems to scrape or extract data from our platform
• Use the Service to collect personal data from reporters beyond what is necessary for handling maintenance issues
• Place UtilTags in a manner that misleads the public or encourages false or abusive reports

As a user of UtilTag for maintenance reporting, you are responsible for:

• Ensuring your use of the Service complies with applicable laws and regulations
• Using the issue dashboard and notifications to respond to reported issues in a timely and appropriate manner
• Configuring locations, report options, and notification settings in a way that is appropriate for your venues
• Ensuring that team members who receive alerts (e.g. via Telegram) are authorised and trained appropriately
• Maintaining the accuracy of location information and report options displayed to the public
• Not holding UtilTag responsible for delays, omissions, or outcomes resulting from how you or your team act on reports

You retain ownership of data you provide (e.g. location names, categories, team configuration). Report submissions made by visitors who scan your UtilTags are processed by UtilTag on your behalf. You acknowledge that:

• You are responsible for the lawfulness of collecting and processing report data at your locations
• Report data (issue types, free text, photos) is stored and displayed to you and your designated team for the purpose of resolving issues
• Visitors who submit reports may do so anonymously; we do not require them to create an account
• You may export or delete your account and associated data in accordance with our data retention and account closure policies

UtilTag is committed to providing reliable service:

• We target high uptime availability for paid plans
• Technical support is available via email
• We provide updates and improvements to the Service from time to time

Service credits may be available for significant unplanned outages affecting paid subscribers. Please contact support for details.

Our Service is provided "as is" without warranties of any kind, express or implied. UtilTag and its affiliates shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or downtime beyond our reasonable control
• Damages arising from unauthorized access to your account
• Outcomes resulting from how you or others act on maintenance reports or use the Service

Our total liability shall not exceed the amount paid by you in the twelve months preceding the claim. Some jurisdictions do not allow certain limitations, so these may not apply to you.

We reserve the right to modify, update, or discontinue any aspect of the Service, including:

• Features, functionality, and user interface
• Pricing and subscription plans
• Integrations (e.g. Telegram, email)
• Data retention policies

We will provide reasonable notice of material changes through email or in-app notifications where appropriate. Continued use after changes may constitute acceptance of the updated terms.

Either party may terminate this agreement at any time. Upon termination:

• Your access to the Service will be discontinued
• You may request export of your data within a reasonable period as stated at the time
• Outstanding payments remain due
• We may delete your account and associated data after the retention period

We may terminate or suspend your account immediately for:

• Violation of these terms
• Fraudulent or illegal activities
• Non-payment of fees
• Conduct harmful to other users or the Service

UtilTag retains all rights, title, and interest in the Service, including all intellectual property rights. You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription period. You may not:

• Copy, modify, or create derivative works of the Service
• Reverse engineer or attempt to extract source code
• Remove or alter any proprietary notices or labels
• Use our trademarks (including "UtilTag") without prior written permission

These terms are governed by and construed in accordance with the laws of Delaware, United States, without regard to its conflict of law principles.

Any disputes arising from these terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Delaware, United States. You consent to the personal jurisdiction of such courts.

If any provision of these terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in effect.
